INTERIM NOTICE. These Terms are an interim version for the FetusPlus pre-MVP Early Access in the United States. They may be updated; material changes will be communicated and re-acceptance requested at your next platform action that requires Terms acceptance. Review by a US attorney is required before MVP / broader US launch.
1. Introduction; Early Access; interim status
FetusPlus is an online platform where intended parents (IPs), gestational carriers (GCs/surrogates), and agencies can create profiles, view limited profile information where allowed, and use role-based platform communication and next-step tools. The US platform is in Early Access. These Terms govern agency use of the platform. By submitting an agency application, accepting these Terms, or using agency features after these Terms are presented, you agree to them.
2. Who these Terms apply to
These Terms apply to the agency organization and to every individual who uses the platform on the agency's behalf (staff accounts). The agency is responsible for actions taken under its accounts. The agency must keep its staff accounts and login credentials secure, allow only authorized staff to use them, and notify FetusPlus promptly about suspected unauthorized access.
3. Agency authority and representations
The person submitting the application or accepting these Terms confirms they are authorized to act for the agency. The agency confirms the information and documents it provides are true, current, and not misleading, and agrees to keep them updated.
4. Application and platform-access review
Agencies apply through the application form. FetusPlus reviews submitted business documents to decide platform access. This review is an internal access check only — it is not an approval, license, or certification of the agency, and FetusPlus may decline or revoke access at its discretion. Material profile changes go through re-review before publication.
5. "Business documents reviewed" — what the badge means
Where shown, the "Business documents reviewed" badge means only that FetusPlus reviewed business proof documents submitted by the agency for platform access. It is not a legal or regulatory compliance verification, not a background check, not an endorsement, and not a guarantee of service quality.
6. No endorsement; no compliance guarantee
FetusPlus does not endorse any agency and does not verify or guarantee any agency's legal or regulatory compliance, licensing, insurance, or service quality. Listing on FetusPlus is presence, not recommendation.
7. Agency profile and public Catalog visibility
Published agency profiles appear in the public Catalog, including to visitors who are not signed in. Only fields designated for public display are shown publicly. Demo/test records are excluded from public listings. Published agency profile information may be visible to signed-out visitors and to search engines; do not submit information for publication unless you are comfortable with such public visibility. The agency is responsible for ensuring it has the right to publish any information it submits for public display. Where state-specific display rules apply (for example, New York), FetusPlus may adjust what is listed.
8. FetusPlus Care and platform communications
FetusPlus Care is the platform's official support channel, available in the product. Personal messengers or private email of staff are not official channels. Care does not provide emergency services and does not provide legal, medical, tax, insurance, regulatory, or other professional advice; response times are not guaranteed in Early Access.
9. Marketplace actions and role-based access
Agency capabilities (such as responding to intended parents, sending information requests, or using agency interest features involving gestational carriers / surrogates) depend on role, account state, and published platform limits (for example, caps on concurrent requests). FetusPlus may adjust published limits; current limits may be shown in the product or communicated in applicable product materials.
10. Contact Exchange and controlled contact
Where Contact Exchange is available, direct contact details are shared only after the applicable platform milestone, an explicit request, and mutual acceptance through the platform. Contact Exchange may not be available for every role, account, or status. Attempting to obtain or share personal contact details outside this process, or pressuring users to do so, is prohibited.
11. No legal, medical, tax, insurance, or regulatory advice
FetusPlus provides a platform, not professional advice. Nothing on the platform is legal, medical, financial, tax, insurance, or regulatory advice. Users and agencies make their own decisions and should consult qualified professionals.
12. Agency responsibility for its own compliance
The agency is solely responsible for complying with all laws and regulations applicable to its services, including licensing, advertising, and state-specific surrogacy rules. FetusPlus does not provide legal compliance monitoring and does not guarantee agency compliance. FetusPlus may still review platform activity, reports, documents, or profile changes for platform safety, integrity, and access decisions.
13. Data, privacy, confidentiality, prohibited uploads
The agency may access personal information of platform users only as the platform provides it and only for the purpose of providing its services through the platform. The agency must not extract, scrape, resell, or share user data outside the platform except as expressly allowed by the applicable platform workflow, the user's consent, and applicable law; must keep it confidential; and must not upload content it has no right to share (including other people's documents or personal data without authority).
14. Conduct; prohibited behavior
Prohibited: false or misleading statements or documents; harassment or pressure; discrimination prohibited by law; circumventing platform processes (including contact-exchange circumvention); interfering with reviews, reports, or safety mechanisms; any unlawful activity. Users can report conduct through the platform; reports are reviewed.
15. Freeze, suspension, re-review, termination
FetusPlus may freeze or suspend agency access, require re-review, or terminate access for violations of these Terms, safety or integrity risks, or failed re-review. During suspension the agency's public presence and marketplace actions are restricted; access to FetusPlus Care remains available. FetusPlus may remove, hide, or limit agency public profile content during review, suspension, or safety/ integrity checks. The agency may request account closure, subject to outstanding obligations, platform safety review, and required record retention.
16. Fees; Early Access; future pricing
During Early Access, agency use of the platform is free. FetusPlus may introduce pricing in the future; any pricing will be communicated in advance and will not apply retroactively without notice and acceptance where required. Third-party legal, medical, clinic, insurance, escrow, agency-service, or other professional costs are separate and are not FetusPlus fees.
17. Changes to these Terms; versioning; re-acceptance
Each version of these Terms carries a version identifier and date. For material changes, FetusPlus will notify agencies and request re-acceptance at your next platform action that requires Terms acceptance — such as submitting an application, publishing or updating an agency profile, responding to a request, or using an agency marketplace feature; minor wording corrections may be published with a changelog note without re-acceptance.
18. Liability; disputes; governing law — interim placeholders
To the extent permitted by law, FetusPlus provides the platform "as is" and is not liable for agreements, outcomes, or disputes between users and agencies. Liability limitation, dispute resolution, governing law, and venue are interim placeholders: to be confirmed by US counsel before MVP. Until then, applicable law applies; no specific state, court, or arbitration forum is designated here.
19. Notices and contact
FetusPlus sends notices through the platform and/or to the agency's registered email. Agencies contact FetusPlus through FetusPlus Care in the product. Keep your registered email current.
